LETTER OF EMPLOYMENT AGREEMENT

This letter serves to document the employment agreement of Perry Willis to serve as National Director of the Libertarian Party.

Term of employment: Retroactive to December 12, 1993, continuing through July 7, 1996 (the close of the 1996 national convention and the first meeting of the new Libertarian National Committee), renewable by mutual consent.

Salary: The initial salary shall be set at $55,000. Raises shall be determined by tie following table, adjusted quarterly. If membership figures and revenue indicate different salary levels) the lower of the two figures shall prevail.

Health Insurance: Willis shall receive the same insurance benefits as are currently in pace for other staff members.

Severance/Transition Terms and Compensation:

1. Termination without cause: If the National Chair (currently Steve Dasbach) or the LNC terminates this agreement for reasons unrelated to Willis' job performance, Willis shall receive the following compensation.

Payment of any outstanding domicile lease (to be no greater than a year in length);
Payment of documented moving expenses, not to exceed $10,000
Payment of six months severance pay, payable in installments every two weeks.

2. Termination for cause: If this agreement is terminated for unsatisfactory job performance, Willis shall receive the following compensation:

Payment of any outstanding domicile lease (to be no greater than Six months in length);
Payment of documented moving expenses not to exceed $10,000; and
Payment of three months severance pay, payable in installments every two weeks,

3. Resignation: If Willis chooses to terminate this agreement, he shall receive payment of six months severance/transition pay, payable in installments every two weeks, in exchange for Willis providing the following transition services to the LNC:

Satisfactory completion of six additional monthly direct mail fund-raising letters;
Satisfactory completion of all pending projects, provided that said projects can be largely completed without the need for Willis to continue residing in the Washington DC area;
Up to six months of consultation, including periodic on-site visits, as required to ensure a smooth transition. If the LNC requires Willis to provide on site consulting beyond the first two months, the LNC shall reimburse Willis' reasonable travel and lodging expenses.

Disputes: Any disputes shalt be submitted to binding arbitration, in the county in which Willis resides

Entire Agreement: This Letter of Employment Agreement contains the entire agreement between the parties and supersedes any prior understandings, either oral or written.
